Company Secretary deals with company law matters, other legal laws like SEBI, FEMA, Labour laws and conducts Secretarial audits. They prepare annual returns, manages statutory registers of clients, helps clients to register as legal entity and gets all his legal compliances done. They also provide consultancy services when there are inspections by Registrar of Companies. They are also experts in intellectual property rights like trademarks, patents and they also provide certification services as required by law. They are members of ICSI (Institute of Company Secretaries of India) statutory body under an act of Parliament.
Pay Package: 3.00 Lakhs to 10 Lakhs per annum & increasing
Admission Procedure: There are 3 stages in CS course Foundation, Executive, Professional.
A student of Std XII with Science or Commerce or Arts except fine arts can register for the Foundation Course whose exams is objective type and is held in every June & December. After cracking Foundation, student will be admitted in Executive stage whose exams will be conducted in June & December. After clearing Executive student will have to register for internship for a period of 24 months (12 months in case of clearing professional exams) with a Practicing CS or a company registered with ICSI and prepare for his final exams. After clearing Final exams he will become a Company Secretary with a membership from ICSI (Institute of Company Secretaries of India).

Work of a Company Secretary:
They are engaged in the formation of companies and provide compliance solutions to the companies with regards to various laws. Their work is to see that the company is abide by laws and every disclosure and compliance is made in time by the company. They are also involved when the company has to list his shares with the Stock Exchanges as required by SEBI law. They are experts in laws and certify various reports as required by the statutory bodies.
They also advise companies in matters of Company laws, SEBI, FEMA and other legal laws. They act as a link between the company and its other stake holders and report other regulatory bodies on behalf of company.
They also act as advisors in Company law matters, amalgamations and mergers, Winding up matters of Companies, Compliance officers and are appointed mainly as Company Secretary as is requires by law.
Company Law has provided certification rights to Company Secretary, and according to company law companies are required to obtain services from Company Secretary thus they can set up their own independent practice and become secretarial auditors of the company. They have rights to appear before competition commission, TRAI, IRDA, and various other regulatory bodies. They provide various certification in matters of Company law and various other bodies. Companies also appoint Company Secretaries to look after their legal compliance’s.
